Robert, Sarita and Philip have run a successful events management partnership based in Bristol for 3 years. They
call the business ?IN ANY EVENT?. They have now decided that they would like to expand their operation beyond the
Bristol area and seek more capital to support their expansion plans.
They have decided that they would like to convert their business into a limited liability company. They want to
retain control of the company. They do not want anyone to be allowed to own shares in the company without their
approval .However they do want to be able to raise capital from family and friends in order to fund their
expansion plans. They want to retain their business name as they want to retain the goodwill of their current
clients.
They seek you advice as to the following matters:
i) They want to know what the advantages would be for them of forming a limited liability company and what type
of company they should form.
ii) They want to know if they could retain their current business name if they became a limited company.
iii) They want to know how they can raise capital for the new company from their friends and family without them
losing control of the company.
iv) They want to know how to structure the company to help them fulfil their plans whilst ensuring that they
retain overall control.
v) You should set aside 250-400 words ( out of the 2000) to write a research trail to accompany this work. The
research trail should explain what resources you used eg texts/ journals/cases/statutes and online materials, and
why they were relevant resources to answer the questions. You can discuss such matters as to whether you found
enough information in those materials and whether you found them easy or difficult to understand.
For section i)-iv), give your reasons for the advice given and support your advice with statutory references and
case law, where appropriate. All section carry equal marks.
